All websites, systems, applications, and software developed by EdmondWebsites remain the intellectual property of EdmondWebsites.
However, clients are granted full usage rights and outright ownership of the system for their intended use upon full payment. This means you may use, operate, and benefit from the system without restriction, but you may not resell, redistribute, or claim authorship of the original code, design, or concept without prior written consent.

EdmondWebsites retains the right to showcase completed projects in its portfolio for marketing purposes unless explicitly restricted in writing.

4. Payment Terms

• Invoices: Payment for services is typically due within 30 days of invoice issuance unless otherwise agreed in writing.

• Late Payments: Late payments will incur a 5% monthly interest fee after the due date.

• Deposit: A 50% deposit may be required before the commencement of services, with the remaining balance due upon completion or at agreed milestones.

• Methods of Payment: Payments are accepted via bank transfer, mobile money, or other methods agreed upon with EdmondWebsites.

5. Maintenance and Support

• Paid Support: Maintenance and support services are not included in the initial development cost unless explicitly agreed. These services are offered on a paid basis.

• Non-payment: EdmondWebsites shall not be liable for any technical issues, bugs, or downtime occurring after project delivery if maintenance or support has not been paid for or agreed upon in writing.

6. Data Loss & Hacking

• Liability: While we employ industry-standard security measures, EdmondWebsites is not liable for data breaches, hacks, or data loss, unless such incidents are proven to be due to our negligence.

• No Liability for Unpaid Maintenance: If clients opt out of ongoing maintenance, EdmondWebsites holds no responsibility for system failures, security vulnerabilities, or data loss.

7. Limitation of Liability

To the maximum extent permitted by law, EdmondWebsites shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, including but not limited to data loss, loss of business, or legal claims.

8. Competition and Exclusivity

We do not offer exclusivity unless formally agreed upon. EdmondWebsites reserves the right to work with multiple clients in similar industries, provided that confidentiality and data privacy are upheld.

9. Client Responsibilities

Clients are responsible for providing accurate information, timely feedback, and securing their own hosting and domain accounts unless otherwise agreed. EdmondWebsites will not be held responsible for delays or issues resulting from client inaction or third-party failures.

10. Indemnity Clause

By engaging with our services, clients agree to indemnify and hold harmless EdmondWebsites, its affiliates, and its representatives from any claims, liabilities, legal fees, or damages arising from:

• Misuse of the system or service.

• Unauthorized modifications made by the client or third parties.

• Legal disputes due to client content, data, or activities using the developed solution.

11. Modifications

We may update these terms at any time. Continued use of our website or services implies acceptance of the updated terms.

12. Governing Law

These terms are governed by the laws of the Republic of Kenya. Any disputes shall be subject to the exclusive jurisdiction of the Kenyan courts.
